Recitals

WHEREAS, Lafayette Johnson ("Owner") is the title holder of the real property located at 550 Jayton Dr, Colorado Springs, CO 80911 ("the Property"); and

WHEREAS, Joshua Haynes ("Buyer") has made substantial financial contributions toward the Property and the parties are currently in the process of completing a purchase transaction by which Buyer intends to acquire the Property; and

WHEREAS, both parties wish to preserve the integrity of the ongoing purchase process and ensure the Property remains available for that purpose through the expiration of this Agreement;

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Terms and Conditions
1. Agreement Not to Sell. Lafayette Johnson agrees that he will NOT, directly or indirectly, list, advertise, market, offer for sale, accept an offer on, contract for sale, transfer, convey, gift, or otherwise dispose of the Property at 550 Jayton Dr, Colorado Springs, CO 80911 to any person or entity other than Joshua Haynes during the term of this Agreement.
2. Term and Expiration. This Agreement is effective as of February 27, 2026 and shall remain in full force and effect through September 11, 2026 ("Expiration Date"), unless earlier terminated by written mutual agreement of both parties. On the Expiration Date, this Agreement automatically expires with no further obligation of either party, unless the parties have entered into a formal purchase contract prior to that date, in which case the terms of that purchase contract shall govern.
3. Ongoing Purchase Process. Both parties acknowledge that they are actively engaged in the process of completing a purchase transaction for the Property. Both parties agree to act in good faith to advance and finalize that transaction during the term of this Agreement.
4. No Interference with Title. Lafayette Johnson further agrees that he will not take any action during the term of this Agreement that would encumber, cloud, or otherwise adversely affect the title to the Property, or that would impair Joshua Haynes's ability to complete the purchase of the Property.
5. Breach and Remedies. In the event Lafayette Johnson breaches this Agreement by attempting to sell, list, or transfer the Property to any party other than Joshua Haynes during the term hereof, Joshua Haynes shall be entitled to seek immediate injunctive relief in El Paso County District Court to prevent or reverse any such sale or transfer, in addition to any other legal or equitable remedies available, including monetary damages and recovery of attorney's fees and court costs.
6. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. Any disputes arising under this Agreement shall be resolved in the District Court of El Paso County, Colorado.
7. Entire Agreement. This Agreement constitutes the entire understanding of the parties with respect to the subject matter herein and supersedes all prior oral or written understandings on this topic. This Agreement may only be modified by a written instrument signed by both parties.
